Role:
The Company Secretariat Assistant will work closely with the Legal and Company Secretarial function of the international (AIH) division headquarters. The Company Secretary Assistant will work closely with the Company Secretary and the Assistant Company Secretaries in a broad range of company secretarial and governance activities to ensure that the Group maintains high standards of corporate governance across all entities and complies with statutory and regulatory requirements.
This role would suit somebody with strong organisational skills and excellent attention to detail; the ability to take true ownership and accountability of their work; and either previous experience in a company secretarial setting or a keen interest in gaining exposure to company secretarial work within a dynamic and fast-growing international financial services business.
In this role, you will assist the Head of Company Secretarial and the Assistant Company Secretaries in a broad range of company secretarial, governance, compliance and administrative work including:
- Preparing the board and committee meeting calendar and board agenda planner.
- Taking responsibility for the provision of effective Board and Committee support, including proactively managing meeting schedules, preparation of agendas, collation and timely distribution of meeting packs, and maintaining accurate action logs.
- Taking responsibility for the completion of UBO/KYC, statutory and regulatory forms, and other documents.
- Attending Board and Committee meetings with the Company Secretary/ Assistant Company Secretary.
- Maintaining/ overseeing UK and non-UK corporate regulatory filings.
- Maintaining company records and registers.
- Supporting the onboarding of newly acquired companies.
- Supporting the establishment and alignment of procedures and policies to conform with UK and non-UK jurisdictional requirements.
- Assisting with project work.
- Liaising with internal staff and external parties on behalf of the department.

INDIVIDUAL EDUCATION, QUALIFICATION & SKILL SET
Skills/ Attributes Required
- Either previous experience gained in a company secretarial setting or a keen interest in corporate work with a willingness to learn.
- Strong administrative and organisational skills with excellent attention to detail and the ability to take the initiative and manage a diverse workload.
- Excellent written and verbal communication skills, and confidence in communicating with all levels of people within and outside the business with a high level of professionalism.
- Proficient user of Microsoft Office (Word, Excel, Outlook and PowerPoint).
- Ideally experience of Diligent Entities (document management system) and Board Intelligence (board paper portal) or similar systems.
- Ideally Experience of DocuSign, SharePoint and Microsoft Visio (not essential).
- Maintain strict levels of confidentiality and the ability to exercise discretion at all times.
- Personable and effective team player.
