About the Role:

Remitly is looking for a Counsel, Corporate to advise on a broad range of corporate governance matters. You will advise on securities regulation and compliance, equity administration, entity management and regulatory compliance, capital markets transactions, M&A, and international expansion, among other things. You will report to our Director, Legal and work with dynamic colleagues and partners both in the United States and across the globe. You will also be part of a supportive, and close knit business group, establishing a world-class legal function for a fast-growing financial services company. You will be located in Seattle, WA. It is a hybrid role, with a Tuesday, Wednesday, Thursday in office requirement.

You Will:

  • Advise on corporate governance and securities laws workflows, including as relates to periodic SEC disclosures, board and committee processes and functions, and compensation and employee benefit plan matters.
  • Provide legal support to a broad set of clients and stakeholders on matters such as expansion, entity maintenance, equity administration, M&A, corporate finance transactions, and intercompany agreements.
  • Look for opportunities to improve processes that will positively affect the Legal department and its counterparts to help us scale.
  • Be comfortable advising teams on unclear areas of the law and interpreting and applying the law in new contexts.
  • Translate legal advice into actionable guidance for cross-functional and business teams.
  • Assist and work with outside counsel to obtain legal advice in multiple jurisdictions. If necessary, assist with interactions with regulators and internal audit inquiries.
  • Work collaboratively and develop relationships with internal partners.
  • Have the chance to learn and succeed in fast-paced and innovative environment.

You Have:

  • J.D. or equivalent.
  • Been admitted to, and in good standing with at least one State Bar, preferably Washington, California, or New York.
  • 3 or more years of experience practicing either in-house or at a law firm with a focus on corporate governance or securities.
  • Experience in corporate governance, entity management, securities regulation, equity administration, M&A, capital markets transactions, and corporate finance.
  • Exposure to cross-border workflows and engaging with international counsel and stakeholders.
  • Deep familiarity with AI-first and adjacent tools and means of driving scale for broad enterprises.
  • An ability to operate in fast-paced and often ambiguous environments, being comfortable making decisions independently.
  • The desire to collaborate and work as part of a global team.

Compensation Details. The starting base salary range for this position is typically $168,000-$210,000. In the U.S., Remitly employees are shareholders in our Company and equity is part of our total compensation plan.
